NO PURCHASE NECESSARY TO ENTER OR WIN. Void where prohibited by law. The True Value/Weber Grill Giveaway (“Promotion”) will take place June 13, 2022 at 11:00am central time (“Promotion Period”).

1. ELIGIBILITY: The Promotion is open only to individuals (“Entrants”), eighteen or older who live in the continguos United States and participate in the Facebook Live event during the Promotion Period on True Value Company’s Facebook page (the “Event”). True Value Company employees and its retailers as well as Weber-Stephens employees are ineligble to enter and will be disqualified.

2. TO ENTER: Entrants may enter the Promotion during the Promotion Period by responding in the comment section during the Event in response to a question about what they will be grilling on Father’s Day weekend. Entrants must have a Facebook account and be able to receive public direct messages related to their account.

3. DRAWING: There will be one random drawing from all eligible entries received. The drawing will be conducted by Sponsor (or its authorized representative) at 4:00 p.m. or shortly thereafter on June 13, 2022. Sponsor (or its authorized representative) will contact winner via direct message on Facebook. Winner will have twenty-four hours to acknowledge receipt of the message or an alternate winner will be drawn. The decisions of Sponsor (and its authorized represenative) are final and binding in all matters regarding this Promotion. Participants agree to be bound by these Complete Official Rules and the decisions of the Sponsor. Prize award is subject to compliance with these Official Rules, and prior completion of all required documentation.

4. PRIZE/ODDS: Winner will receive a Weber Traveler Grill (Approximate Retail Value $399.00). Winner is responsible for all taxes and expenses, including but not limited to: income tax (federal, state and local), as well as sales tax. Prize or any portion thereof are non-transferable, with no redemptions, substitutions or modifications. Prize details and availability are subject to change. Odds of winning depend on the number of eligible entries received for each drawing. Prize is non-transferable and no substitutions or cash equivalent will be made except as provided herein or at Sponsor’s sole discretion. Winners must comply with all Promotion rules as published. Unclaimed Prizes will not be awarded.

5. GENERAL CONDITIONS: Winner will be required to sign an Affidavit of Eligibility and Release of Liability and where legal Publicity Release. In the event of noncompliance with these rules or if the Winner does not claim the prize within the twentyfour hours after receiving notification via direct message on Facebook, the prize will be forfeited and an alternate winner will be selected. Participation in this Promotion constitutes permission to use the Winner’s name, likeness, voice, image, videotape, photograph, and biographical information for promotional and publicity purposes without notice and at no additional compensation unless prohibited by United States law. By entering, all entrants agree to abide and be bound by these Official Rules and the decisions of Sponsor and Administrator, which are final and binding in all matters. Entrants who have not complied with these Official Rules are subject to disqualification. Sponsor reserves the right, at its sole discretion, to disqualify any entrant from this Promotion or any other promotion conducted now or in the future by Sponsor or any of its affiliates if Sponsor suspects or finds entrant to be: (a) violating the Official Rules; (b) tampering or attempting to tamper with the entry process or the operation of the Promotion; (c) acting in an unsportsmanlike or disruptive manner, or with the intent to annoy, abuse, threaten or harass any other person; or (d) attempting to undermine the legitimate operation of the Promotion by cheating, hacking, deception, or other unfair playing practices or intending to annoy, abuse, threaten or harass any other entrants, or Sponsor or Sponsor’s representatives.

LIMITATION OF LIABILITY: Sponsor,Weber-Stephens and Facebook and their affiliates and agents (“Released Parties”) do not assume any responsibility and the entrant releases the Released Parties from any and all claims, actions, damages, demands and liabilities of whatever nature or kind arising out of, or in connection with the entrant’s participation or attempted participation in the Promotion or Prize, including, without limitation, the administration of the Promotion, the selection and confirmation of winners, and the arranging, awarding and use of the Prize and from any and all liability for any actions, claims, liabilities, damages, including but not limited to personal injury, bodily injury (including without limitation wrongful death and disability), property damage, or loss or damage of any other kind, arising in whole or in part, directly or indirectly, from delivery, acceptance, possession, use or misuse of the prize, or participation in this Promotion or any Promotion related activity. Without limiting the generality of the foregoing, the Released Parties are not responsible for (i) the incorrect or inaccurate capture of entry information; (ii) late, lost, stolen, contain false information, damaged, misdirected, garbled or incomplete entries, transmissions or transactions, those that are altered or otherwise irregular, have been submitted through illicit means or do not conform with or satisfy any or all of the conditions of the Official Rules; (iii) any loss, damage, or claims caused by, or in anyway related to the awarded Prize or the Promotion itself; (iv) failure of any operations or transmission of information during the Promotion Period, including, without limitation, any problems, human or technical, errors, (v) any errors, omissions, incorrect or inaccurate information in any Promotion-related materials, including, without limitation, printing or advertising errors or the failure of or problems with any equipment or programming associated with or used in the Promotion howsoever caused; (vi) any claims regarding the accepting, arranging, awarding or use of the Prize. IN NO EVENT WILL SPONSOR, WEBER-STEPHENS OR FACEBOOK OR THEIR AFFILIATES OR AGENTS BE LIABLE FOR ANY ACTIONS, CLAIMS, DAMAGES, LIABILITIES OR LOSSES OF ANY KIND, INCLUDING DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, ARISING OUT OF YOUR PARTICIPATION IN THIS PROMOTION, EVENT OR PRIZE RELATED ACTIVITIES, OR DELIVERY, ACCEPTANCE, POSSESSION, USE/MISUSE OF THE PRIZE. SPONSOR MAKES NO WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, IN RELATION TO THE PRIZE AND EXPRESSLY DISCLAIMS ALL IMPLIED WARRANTIES INCLUDING, MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE. Sponsor reserves the right, at its sole discretion, to modify, terminate or suspend this Promotion (or portion thereof), or to amend the Official Rules, at any time, in any way, and without prior notice, for any reason whatsoever. Without limiting the foregoing, if for any reason the Promotion is not capable of running as originally planned, including should any technical failures, force majeure, unauthorized human intervention or other causes corrupt or affect the administration, security, fairness or proper conduct of the Promotion, Sponsor reserves the right to terminate the Promotion. In the event of termination, Sponsor may conduct the drawing at random from among all eligible, non-suspect Promotion entries received up to time of such action for this Promotion.

Entrant agrees that: (1) any and all disputes, claims, and causes of action arising out of or connected with this Promotion or any prizes awarded shall be resolved individually, without resort to any form of class action, and exclusively by the United States District Court for the District of Illinois or the appropriate Illinois State Court located in Cook County, Illinois; (2) any and all claims, judgments and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with entering this Promotion but in no event attorneys’ fees; and (3) under no circumstances will entrant be permitted to obtain awards for and entrant hereby waives all rights to claim punitive, incidental and consequential damages and any other damages, other than for actual out-of-pocket expenses, and any and all rights to have damages multiplied or otherwise increased.
